KICA Board Establishes Special Committee in Response to Members’ Allegations

Dear Members,

On March 26, 2023, the KICA Board of Directors received a letter from four (4) members of the association. The letter states that it is a “pre-members’ derivative lawsuit demand” of the KICA board. The demand letter relates to the master developer’s seat on the KICA board and various questions regarding the Architectural Review Board (ARB). On April 7, 2023, the KICA board provided an initial answer to the four (4) signatories. Both of these letters are included with this announcement. 

At its meeting on April 10, 2023, the KICA board took two (2) votes related to this demand letter.  First, the KICA board voted 6-0-1 (Abstention: Amanda Mole) to form a committee of the board, composed of the six (6) elected directors of the board. This committee will have the authority to exercise the authority of the board.  Secondly, the KICA board voted  6-0-1 (Abstention: Amanda Mole) to retain legal counsel with the local law firm Rosen Hagood for this matter. As stated in the letter to the four (4) signatories, “…we do expect it will involve a good deal of investigation and education as to the issues for the Board to respond substantively…”  We will keep the membership updated as we move through this process.
