September 2024 KICA Committee and Task Force Updates
At the Monday, Sept. 9 board meeting, members of the board gave updates on many of KICA’s committees and task forces.
Governance Task Force
The Governance Task Force has been driving an effort to amend the KICA Covenants. As of July, the amendments include eliminating the developer-appointed KICA board seat; expanding KICA’s authority to operate architectural control functions; clarifying the board’s authority relating to enforcement of rules; and some administrative updates. At Monday’s board meeting, committee chair Paul Hennessy shared that the task force is now considering an additional amendment that clarifies the definition of a member related to a legal entity.
For a change to the KICA Covenants, all community members must vote to approve each amendment. Earlier this summer the board announced that covenant amendments will be voted on in mid-January through mid-February 2025, at the same time as board candidates in the annual director election. Voting will be online.
Chair Paul Hennessy remarked that the task force is meeting weekly and plans to host a community planning meeting in October to gain input on the draft covenant amendments. Over the coming months, the amendments will be refined and a final draft of the amendments will be shared with the community in November to provide ample time for communication and review before winter voting.
The task force, charged with reviewing and improving all of KICA’s governing documents, will also be tackling a revision of KICA’s Rules and Regulations document this fall. Since this document is a supporting document to the covenants, and an anticipated focus of one of the covenant amendments, the clarifications are prudent. A draft of the revised Rules and Regulations will go to the Security and Enforcement Committee and all members for input before final board approval is sought.
Security and Enforcement Committee
The Security and Enforcement Committee has been meeting monthly since its transition in the spring from a project-based task force to a standing committee. The committee’s discussions have been wide-ranging, covering all aspects of island safety, from enhanced security and enforcement of rules to trail and traffic signage improvements.
A Gate Access subcommittee was formed to assess island access at the Main Gate. The subcommittee is seeking ways to ensure all single-day island guests arrive at the destination they are authorized to visit and authorized access loopholes are closed through enhanced verification processes. They are exploring ways to potentially integrate with the resort’s reservation software in order to provide additional arrival information to the gate. Another goal of the subcommittee is to minimize member access delays at the Main Gate. An expansion of lanes was noted as a potential solution to be further examined.
Amenities Experience Committee
Amenities Experience Committee chair Cherie Gallagher shared that the committee is focused on expanding KICA gym amenities, evaluating pool crowding and exploring the addition of an indoor pool. She noted that KICA is limited by the availability of land for expanded or additional amenities, so they are looking at the Sandcastle’s current site to evaluate opportunities there.
The committee will also review Sandcastle data from the summer months with consideration to the new access policies to evaluate amenities use and how it compares with previous years.
Board Outreach and Education Committee
The Board Outreach and Education Committee’s responsibilities are centered around encouraging members to serve their community on the board of directors, committees or task forces. The annual election occurs each winter, preceded by requests for members to register as candidates in the fall. The committee’s efforts typically kick off in September, advising staff on the candidacy process and election timeline and preparing for a Board Service Info Session, which is hosted annually by the committee in October.
The committee co-chair Cherie Gallagher implored all board members and those engaged in community governance to participate in outreach by talking to their neighbors. More information about the 2025 election and the candidacy process will be shared in the coming weeks.
