Four Covenant Amendments Approved by KICA Membership
The Kiawah Island Community Association Covenants outline the functions and the authority of the community association and the rights of its Members.
Following nearly a year of work by the Governance Task Force, the board put forth five covenant amendments for the community’s approval in January 2025. Any change to the KICA Covenants requires a membership vote with a minimum participation requirement of 60% of the total base vote of Kiawah residential and commercial properties. In the 2025 election, we received a quorum of 65.9% for the covenants vote.
For an amendment to be approved, 75% of the non-abstaining votes must vote in favor. Of the five amendments, four met this requirement and were approved.
Approved Amendments
The following amendments will go into effect no later than 60 days from approval, in mid April.
Developer’s Board Seat and Type E Member – 85.8% approval
This amendment revokes the developer’s authority to appoint a seat on the KICA board. The developer seat will convert to an elected community member seat, so all seven KICA board members will be elected community members.
Architectural Control Authority – 75.5% approval
This amendment grants KICA broad authority to operate an architectural control authority.
Administrative and Notices – 89.1% approval
This set of miscellaneous administrative updates to the covenants provide more clarity and accuracy. These changes do not directly impact core governance.
Board of Director Qualifications – 85.7% approval
This amendment rectifies a legacy flaw in the KICA Covenants that failed to recognize the various modern forms of property ownership.
Unapproved Amendment
Rules, Regulations and Enforcement – 70.4% approval
This amendment failed, as it did not meet the required 75% approval. It intended to protect members’ quality of life by asserting the authority of the board to modify or establish community rules and enforcement procedures.
